Terms and Conditions For Students And Educational Institutions/Service Providers

Terms and Conditions Between UniGate Junior and Educational Institutions/Service Providers 
 
These terms and conditions (“Agreement”) govern the business relationship between UniGate Junior(UniGate Junior”) and the educational institutions and service providers (collectively referred to as “Provider”) who enter into a contractual agreement with UniGate Junior to offer their services to students through the UniGate Junior platform. By entering into an agreement withUniGate Junior, you acknowledge and agree to comply with these terms and conditions. 
 
1. Services Offered 
Provider agrees to offer their educational services or programs (hereinafter referred to as “Services”) through the UniGate Junior platform. These Services may include, but are not limited to, boarding school placements, summer camps, sports academies, language institutes, training programs, internships, college admissions support, accommodation arrangements, and student support services. 
 
2. Commission and Payment Terms 
Provider agrees to upload an agreement indicating the commission proposed by the institution/service provider for UniGate Junior. The commission structure and rates shall be mutually agreed upon and specified in the partnership agreement between UniGate Junior and the Provider. UniGate Junior will make commercially reasonable efforts to ensure that the agreement is signed and agreed upon prior to the commencement of any services. 
 
2.1 Commission Payment Process 
Provider agrees to pay the agreed commission to UniGate Junior for each successful student referral. The commission payment will be made as per the payment schedule specified in the partnership agreement. UniGate Junior will invoice the Provider with the details of the commission payable. 
 
2.2 Payment Method 
Provider agrees to make commission payments only to the official bank account of UniGate Junior or UniGate’s bank account, as specified in the partnership agreement. No other forms of payment, such as cash or check, will be accepted unless otherwise agreed upon in writing by both parties. 
 
3. Reporting and Documentation 
Provider agrees to provide the necessary reporting and documentation to UniGate Junior as per the requirements outlined in the partnership agreement. This may include, but is not limited to, student enrollment data, progress reports, completion certificates, and other relevant information required for the proper provision of UniGate Junior’s services. 
 
4. Compliance with Laws and Regulations 
Provider agrees to comply with all applicable laws, regulations, and industry standards related to the provision of educational services and student support. Providers are responsible for ensuring that their Services meet the necessary legal and regulatory requirements, including any necessary certifications or accreditations. 
 
5. Intellectual Property Rights 
Provider acknowledges that UniGate Junior owns all intellectual property rights associated with the UniGate Junior platform. The Provider agrees not to use or reproduce any of UniGate Junior’s trademarks, logos, or other proprietary information without prior written consent. 
 
6. Confidentiality 
Both UniGate Junior and the Provider agree to treat any non-public information shared with one another as confidential. Each party shall use reasonable efforts to protect such information and not disclose it to any third parties without the prior written consent of the disclosing party, except as required by law. 
 
7. Termination 
Either party may terminate this Agreement upon providing written notice to the other party, specifying the reasons for termination. Termination shall not affect any prior rights or obligations of the parties accrued under this Agreement. 
 
8. Limitation of Liability 
UniGate Junior shall not be held liable for any direct, indirect, incidental, consequential, or punitive damages, including but not limited to lost profits, arising out of or in connection with this Agreement or the Services provided by the Provider through the UniGate Junior platform. 
 
9. Governing Law and Jurisdiction 
This Agreement shall be governed by and construed in accordance with the laws of [Provider’s Country]. Any disputes arising from or relating to this Agreement shall be subject to the exclusive jurisdiction of the courts of [Provider’s Country]. 
 
Upon entering into this Agreement, both UniGate Junior and the Provider confirm that they have read, understood, and agreed to these terms and conditions. This Agreement is binding and is effective from the date of acceptance by both parties. 

 Terms and Conditions of UniGate Junior for Students 

 
1. Introduction 
These terms and conditions govern the relationship between UniGate Junior and all students and their families whoavail of our study abroad services. By using UniGate Junior’s services, you acknowledge and agree to comply with these terms and conditions. 
 
2. Services Provided 
UniGate Junior offers a range of study abroad services, including but not limited to assistance withboarding school placements, summer camps, sports academies, language institutes, training programs, internships, college admissions, accommodation arrangements, and student support services. UniGate Junior acts as a facilitator in connecting students with reputable educational institutions and service providers. 
 
3. Financial Responsibility 
UniGate Junior does not and will not ask students to pay any tuition fees directly to UniGate Junior. Any tuition fees or related payments are to be made directly to the respective educational institution or service provider as per their payment policies and procedures. UniGate Junior will provide assistance and guidance regarding the payment process, but ultimate financial responsibility lies with the student and their family. 
 
4. Application and Acceptance 
The application process for study abroad programs and services may vary depending on the educational institution or service provider. UniGate Junior will provide guidance and support throughout the application process, including assistance with completing application forms, gathering required documents, and submitting applications. However, acceptance into an institution or program is solely at the discretion of the institution or program provider. 
 
5. Refund and Cancellation Policies 
Each educational institution and service provider may have their own refund and cancellation policies. UniGate Junior will provide information about these policies to students and families upon request, but it is the responsibility of the student and their family to review and comply with the specific policies of the institution or program they are enrolled in. 
 
6. Accommodation Arrangements 
UniGate Junior assists students in securing suitable accommodation options based on their preferences and requirements. However, the availability of specific accommodations is subject to the policies and availability of housing providers. UniGate Junior will strive to provide accurate and up-to-date information but does not guarantee the availability or suitability of any accommodation options. 
 
7. Student Support Services 
UniGate Junior is committed to providing comprehensive student support services. These may include visa assistance, travel guidance, orientation programs, academic support, and emergency support when necessary. UniGate Junior will endeavor to provide timely and accurate information and assistance, but it is the responsibility of the student and their family to comply with immigration regulations, follow travel guidelines, and actively engage in academic programs and support. 
 
8. Limitation of Liability 
UniGate Junior acts as a facilitator and intermediary between students and educational institutions or service providers. While we strive to ensure the accuracy of information, UniGate Junior cannot be held responsible for any acts, omissions, or errors on the part of educational institutions, service providers, or any other third parties. UniGate Junior’s liability is limited to the extent permitted by applicable laws. 
 
9. Privacy and Data Protection 
UniGate Junior is committed to protecting the privacy and confidentiality of personal information. We collect and process personal data in accordance with applicable laws and our privacy policy. By using our services, you consent to the collection, storage, and processing of your personal information. 
 
10. Governing Law and Jurisdiction 
These terms and conditions are governed by the laws of [Egypt/Cairo]. Any disputes arising from or in connection with these terms and conditions shall be subject to the exclusive jurisdiction of the courts of [Egypt/Cairo]. 
 
By using UniGate Junior’s services, you acknowledge that you have read, understood, and agreed to these terms and conditions. UniGate Junior reserves the right to modify or update these terms and conditions at any time. It is your responsibility to regularly review the terms and conditions for any changes. If you do not agree with any part of these terms and conditions, please refrain from using UniGate Junior’s services.
